The plain-English version
You bought a licence, not the copyright. Use the files anywhere inside your organization, on as many studies as you like, edited however you need. Don’t resell them, don’t post them, and don’t pass blank templates outside your organization. Updates are included for 12 months. If a file arrives broken or isn’t what we described, we’ll replace it or refund it. And remember: these are templates, not advice — the regulatory decisions, and their consequences, stay yours.
The terms
1 · Parties and acceptance. These terms are an agreement between the purchaser (“you” — the individual completing checkout and, where applicable, the organization on whose behalf they act) and KA Clinical. You accept them at checkout; they apply to every digital product purchased or downloaded from this site, including free downloads. Physical merchandise is governed by the separate merch terms and returns policy.
2 · Licence grant. Two tiers, chosen at purchase. Organization Licence: non-exclusive, non-transferable, perpetual licence to use, edit, and reproduce the purchased files for internal business purposes within the purchasing organization, on unlimited studies and programs. Practice Licence: everything in the Organization Licence, plus deployment of completed, client-specific versions across unlimited client programs — built for CROs and independent consultants.
3 · Permitted use. Adapt, rebrand, and deploy the files inside your organization. Sharing completed, program-specific versions with the CROs, sites, and vendors working on your studies is permitted. Service providers: deploying completed, client-specific versions on client programs requires the Practice Licence; under either licence, providing blank or substantially unmodified templates to clients as a deliverable is not permitted.
4 · Prohibited use. No resale, sublicensing, or redistribution of blank or substantially unmodified templates outside your organization; no posting to public websites, repositories, or shared drives; no use of the files to build, train, or improve competing products or services, including use as training data for machine learning or AI models.
5 · Intellectual property. KA Clinical retains all right, title, and interest in the templates. You own the content you add to your completed versions.
6 · Updates. Purchased toolkits include all updates for 12 months from purchase; version history is published on each product page.
7 · Delivery and access. Files are delivered by download link after checkout. Links may expire or be download-limited for security; if you lose access to something you bought, email us and we will restore it — losing a link never means losing your licence.
8 · No professional advice; no outcome guarantee. The files are working templates, not legal, regulatory, or medical advice, and buying them does not create a consulting or professional-services relationship. You are responsible for verifying fitness for your program and compliance with applicable regulations. KA Clinical does not warrant any regulatory outcome — no template guarantees a successful inspection, submission, or approval.
9 · No warranty; limitation of liability. Files are provided “as is.” To the maximum extent permitted by law, KA Clinical’s total liability is capped at the price paid for the file(s) giving rise to the claim, and indirect and consequential damages are excluded. Nothing in these terms excludes liability that cannot be excluded by law, or limits any non-waivable statutory rights of consumers in their jurisdiction.
10 · Refunds. Digital products are final once downloaded. If a file is defective as delivered — corrupt, incomplete, or not what was described — tell us and we will replace it or refund it. What happens to a template after you edit it is your own adventure: modifications you make are not grounds for a refund. Physical merchandise follows the separate merch returns policy.
11 · EU/UK consumers — right of withdrawal. If you buy as a consumer in the EU or UK, you have a 14-day right of withdrawal for online purchases — but for digital content it ends when delivery begins with your express consent and acknowledgment. Checkout for digital items includes that consent. Business purchases are unaffected; physical merchandise keeps the standard 14-day withdrawal for EU/UK consumers.
12 · Indemnity. You indemnify KA Clinical against third-party claims arising from your use, adaptation, or deployment of the files.
13 · Termination. The licence survives indefinitely but terminates automatically on material breach of clauses 3–4 that is not cured within 30 days of notice. Clauses on IP, liability, and indemnity survive termination.
14 · General. These terms plus the order confirmation are the entire agreement for the purchase; if a clause is found unenforceable the rest stand; we may update these terms for future purchases (never retroactively — the terms you bought under are the terms you keep); you may not assign the licence except to a successor of substantially all your business.
